PART III - NARRATIVE

State below in reasonable detail the reasons why Form 10-K could not be
 filed within the prescribed time period.

The Registrant's chief financial officer resigned in January 2001 in order
 to pursue another opportunity. While the Registrant immediately began the
 recruitment process for a replacement, year-end work and the registrant's
 independent audit were unavoidably delayed. The registrant's new chief
 financial officer was hired in March 2001.
